DISTRIBUTOR AGREEMENT
This Distributor Agreement ("Agreement") is made on by and between:
1. PARTIES
Shree Mangalam Natural Products, having its principal office at Plot No. 990, Bus Stop, Rithala, Delhi – 110085 (hereinafter referred to as "Manufacturer")
, residing at (hereinafter referred to as "Distributor")
2. PURPOSE
This Agreement authorizes the Distributor to distribute and promote the Manufacturer's products in the assigned territory.
3. PRODUCT LIST
The Distributor will distribute the following products: Herbal Soap, Face Wash, Shampoo, Dental Powder, Hair Oil, Washing Powder, and other related products.
4. TERRITORY
The Distributor shall have exclusive distribution rights in the following territory: .
5. DURATION
This Agreement shall be valid from to (one year from commencement), and may be extended upon mutual agreement.
6. PAYMENT TERMS
- Payment shall be made in advance or within 15 days of delivery
- Accepted payment modes: Cash/Bank Transfer/UPI
- A 12% annual interest will be charged on overdue amounts
7. QUALITY AND RETURN POLICY
All products will be dispatched after quality checks. Damaged goods must be reported within 7 days of receipt.
8. BRANDING AND PROMOTION
The Distributor shall use the Shree Mangalam brand name only for sales, marketing, and promotional activities related to the products.
9. SALES TARGET
The Distributor agrees to achieve a minimum monthly sales target of ₹__________. Failure to meet the target for three consecutive months may result in review or termination of the agreement.
10. TERMINATION
Either party may terminate this Agreement with 30 days prior written notice if:
- There is a breach of Agreement terms
- Payments are delayed repeatedly
- Brand reputation is harmed
11. DISPUTE RESOLUTION
In case of any dispute, both parties will first attempt resolution through mutual discussion. If unresolved, the jurisdiction will be Agra (city).
12. GENERAL PROVISIONS
- This agreement constitutes the entire understanding between the parties
- Amendments must be in writing and signed by both parties
- The Distributor is an independent contractor and not an employee
- Notices shall be sent to the addresses mentioned above
13. DECLARATION
Both parties declare that they have read, understood, and voluntarily signed this Agreement.
